Sales Terms and Conditions for CDP (India) Pvt. Ltd. EPP Portal

PLEASE READ THESE SALES TERMS & CONDITIONS CAREFULLY.

Thank you for visiting the CDP (India) Pvt. Ltd. EPP Portal (“Portal”). By accessing or using this Portal, you agree to abide by and be bound by the terms and conditions set forth below. These terms form a binding agreement between you (“User,” “Customer,” “End User”) and CDP (India) Pvt. Ltd. (“CDP,” “we,” “us”). If you do not agree to these terms, please do not use the Portal.

General Terms

  • Operator: The CDP (India) Pvt. Ltd. EPP Portal is operated by CDP (India) Pvt. Ltd., a company incorporated in India under the Companies Act, with its registered office at B-2-603, Marathon NextGen Innova, Off G. K Marg, Lower Parel, Mumbai, Maharashtra 400013
  • Ownership: The ownership and proprietary rights in the domain name and content of the Portal are owned by CDP (India) Pvt. Ltd. No part of the Portal may be copied or transmitted for commercial purposes without explicit written consent.

Modification of Terms

  • CDP (India) Pvt. Ltd. reserves the right to update or modify these Terms and Conditions at any time without prior notice. Continued use of the Portal following any such change constitutes your agreement to follow and be bound by the modified Terms and Conditions.

Intellectual Property

  • All trademarks, service marks, and trade names displayed on the Portal are proprietary to CDP (India) Pvt. Ltd. and/or their respective owners. Nothing on the Portal should be interpreted as granting any license or right to use any trademark without the express written permission of CDP (India) Pvt. Ltd.

Account Creation and Security

  • To use certain features of the Portal, you may be required to create an account. You must provide accurate, complete, and up-to-date information during the account creation process. You are solely responsible for maintaining the confidentiality of your account details, including your username and password. Any activity that occurs under your account is your responsibility. We reserve the right to suspend or delete accounts that violate these terms.

Orders and Payment

  • Payment Methods: Payment for products ordered through the Portal can be made through Credit Cards, Debit Cards, Net Banking, UPI, or other available methods as specified during the checkout process.
  • Order Processing: Orders are processed once the payment is confirmed. CDP (India) Pvt. Ltd. will ship the products as per the availability and logistics capabilities.
  • Cancellation: Orders can be canceled within 24 hours of placing the order. After this period, cancellations are subject to the Portal’s Return/Exchange Policy.
  • EMI Options: For select products, No Cost EMI options may be available. The terms for No Cost EMI, including any applicable interest refunds, will be provided at the time of purchase.

Pricing

  • Product Pricing: Prices listed on the Portal are current and are subject to change without prior notice. All prices on the Portal are in Indian Rupees (INR). CDP (India) Pvt. Ltd. reserves the right to correct any errors in the pricing or product description without any obligation to supply the product at the incorrect price. Payment must be made using the methods specified on the Portal, which may include credit cards, debit cards, UPI, and net banking. CDP does not accept international payments (other than in Rupees). Payment is required upfront, and orders cannot be canceled or refunded once processed and shipped.

GOODS AND SERVICES TAX (GST) POLICY

All prices on the Portal are inclusive of Goods and Services Tax (GST) as applicable under Indian law. The applicable GST will be displayed during checkout and in the invoice. GST will be calculated as per the rate applicable at the time of the transaction. Customers are responsible for ensuring that the GST details provided at the time of purchase are accurate. No changes to GST details will be allowed after the order is placed.

  1. Goods and Services Tax (GST) is an indirect tax (or consumption tax) used in India on the supply of goods and services. It is a comprehensive, multistage, destination-based tax: comprehensive because it has subsumed almost all the indirect taxes except a few state taxes. Multi-staged as it is, the GST is imposed at every step in the production process but is meant to be refunded to all parties in the various stages of production other than the final consumer and as a destination-based tax, it is collected from point of consumption and not point of origin like previous taxes.
  2. Goods and services are divided into five different tax slabs for collection of tax – 0%, 5%, 12%, 18% and 28%. However, most electronic goods are expected to be in the 18% tax range.
  3. The tax came into effect from 1 July 2017 through the implementation of the One Hundred and First Amendment of the Constitution of India by the Indian government. The GST replaced existing multiple taxes levied by the central and state governments.
  4. The tax rates, rules and regulations are governed by the GST Council which consists of the finance ministers of the central government and all the states. The GST is meant to replace a slew of indirect taxes with a federated tax and is therefore expected to reshape the country’s
  5. A GSTIN is a 15-digit PAN-based unique identification number allotted to every registered person under GST. GSTIN structure comprises – 1) First 2 numbers → State code of the registered person 2) Next 10 characters → PAN of the registered person 3) Next number→ Entity number of the same PAN 4) Next character → Alphabet Z by default 5) Last number → Check code which may be alpha or digit, used for detection of errors.
  6. To get GST input, your Legal name & GST No. should match with your GST certificate. For quick verification, please click on https://services.gst.gov.in/services/searchtp, mention your GST No. & verify. Please mention your Legal name in First name column of Billing address.
  7. As per GST norms, the Billing state address & Billing GST No. will get the GST input. Shipping state address & shipping GST number will not have right to claim on GST input. Please note while putting GST number ensure that you are putting the billing address state GST number. ONCE GST NUMBER MENTIONED, NO CHANGES WILL BE ENTERTAINED SINCE WE ARE GENERETING THE E-INVOICES FROM GST PORTAL.
  8. Customer must mention his company /Prop/ Partnership firm’s GST number in the field provided ” GSTIN” at the time of checkout in the Billing address, if he/she/they, wants have GST Input credit for their organisation.
  9. As per the GST act giving incorrect GST while buying or selling the good and services, is an offense for both parties i.e. for GST Number, on whose name GST number is registered and the person or Individual / Prop /Company/ Partnership firm, who provides such incorrect GST Number for the any transaction of buying, Selling of good and services.
  10. Customer can view such GST input credit on their GSTR 2A by 11th of following month from invoice date (Not from order date). Sometimes GST input credit doesn’t reflect in 2A because of the following reasons due to which GST input credit will not get reflect in GSTR-2A.
    1. GST number not provided while placing the order
    2. GST Number incorrect
    3. GST number and Billing state address mismatch
    4. GST number and Legal name mismatch
  11. Hence to get the correct GST input credit customer has to put right GST information while placing the order, also ensure that correct GST number with branch address and state is provided.
  12. Once Seller files the GST Returns, they won’t be able to make any changes in their GST Returns. Hence all customer has to take extra care while putting their GST Information while placing the order on websites.

TAX COLLECTION AT SOURCE

  • Tax Collection at Source (‘TCS’) will be collected from all customers on consideration for sale of goods in excess of the prescribed threshold limit (i.e. INR 50 lakhs or any other limit as prescribed by the Government) in aggregate during the financial year.
  • TCS will be collected on the total sale consideration including GST. TCS will be collected at rate of 0.1%

Delivery of Products

  • Products will be shipped using the method indicated in the order. Delivery times may vary based on your location and product availability. CDP is not responsible for delays caused by external factors beyond our control, including but not limited to force majeure events. Products must be signed for upon delivery. We are not responsible for goods signed by someone other than the person ordering the product at the delivery address provided.
  • Shipping: Products will be shipped within 3-5 business days for metro cities and 7-10 business days for non-metros, depending on product availability and delivery address. CTO (Configure-To-Order) products may take 4-12 weeks for delivery.
  • Delivery Terms: Delivery will be made to the address specified during the order process. CDP (India) Pvt. Ltd. is not responsible for any loss or damage after the product has been delivered.

Returns, Exchanges, and Cancellations

  • Return Policy: Customers may request a return within 7 calendar days from the date of delivery. Returns will be accepted only if the product has a hardware failure certified by authorized service personnel.
  • Cancellation Policy: Orders can be canceled within 24 hours of placement. After 24 hours, the order will be processed, and the Return/Exchange Policy will apply.

Limitation of Liability

  • Liability: CDP (India) Pvt. Ltd. will not be liable for any indirect, consequential, or incidental damages arising from the use of the Portal or products purchased from it. The aggregate liability of CDP (India) Pvt. Ltd. will not exceed the total value of the product purchased.

Governing Law and Dispute Resolution

  • Governing Law: This Agreement is governed by and construed in accordance with the laws of India.
  • Dispute Resolution: Any disputes arising out of this Agreement will be resolved through arbitration as per the Arbitration and Conciliation Act, 1996, with the venue of arbitration in Mumbai
